Terms and conditions of sale
These conditions apply to all sales of products or customer service by Molgenics Ltd, registered in the United Kingdom, Manchester Science Park, Enterprise House unit 25, Lloyd St N, Manchester, M15 6SE under company number 13509897.
When the customer is ordering the Products from our website and the customer then clicks on the button marked "I agree to the Terms and Conditions of Sale" and proceed with the payment of a chosen product the customer will be deemed as accepting these conditions (“conditions”). If the customer does not want to agree to these Terms of Use, the customer must not access or use the Website.
Order for product
The customer represents and warrants that they are over 18 years of age and possess the legal right and authority to agree to these Terms of Use. If the customer is accessing the Website on behalf of their employer, then these Terms of Use shall be binding upon them and their employer, and, in such event, the customer further represent and warrant that they possess the legal right and ability to agree to these Terms of Use on their behalf and on behalf of their employer. The customer shall provide accurate and true personal information when registering for services and provide all the necessary information in order for the service to be completed.
The customer undertakes and warrants that all details provided for purpose of placing the order will be correct and that, where credit/debit cards are used for an order through the website on-line ordering facility, that any credit/debit card used belongs to the customer.
The customer should check all the information that they enter and correct any errors before submitting their order. All orders placed and processed via the website shall be in the English language.
Molgenics Ltd will send the customer an acknowledging and confirming receipt of their order
When a Customer places an order this constitutes a firm offer and may not be revoked or cancelled at any time. Molgenics Ltd hereby reserves the right to reschedule any delivery or cancel any order issued at any time and Molgenics Ltd shall not be subject to any charges or other fees as a result of such cancellation
Molgenics Ltd reserves the right to reject any order, as it sees fit, without having to give any reason.
Delivery
Molgenics Ltd will provide and confirm the customer with delivery details in the confirmation email. Delivery will be at the address that was specified by the customer at the time the order was placed. Molgenics Ltd will choose and use reasonable endeavours to deliver or arrange for collection.
If the delivery conditions are not met or no one is able to accept delivery of the products, Molgenics Ltd courier shall follow their standard delivery procedures.
Molgenics Ltd shall make a commercially reasonable attempt to deliver the products at the time stated in the order confirmation email but such dates are estimates only and are not guaranteed. Such dates shall not constitute a term or condition of the Agreement between Molgenics Ltd and the customer.
Molgenics Ltd is not responsible for any delays in post and therefore shall not be liable in any way for any direct or indirect loss, damage or expense suffered or incurred by the customer as a consequence of any delay in delivery.
The customer shall inspect all products that are delivered on receipt and shall notify Molgenics Ltd within 7 days of accepting the delivery. If no claims are received before this time period Molgenics Ltd are therefore no longer liable for any damaged and/or missing products.
Specification and use of products
Each of the products to be supplied will be as described under the relevant product code in the Specification Sheet for those specific products. The customer should always obtain the Specification Sheet from the Molgenics Ltd website before ordering and will be taken to be fully aware of all information and warnings in the Specification Sheet. In the event of any conflict between the Specification Sheet and the Catalogue, the Specification Sheet will prevail.
Molgenics Ltd products are frequently derived from high end research and the use by the customer of any products and/or information that is shown in the catalogue, website or specification sheet is subject to the following:
The Intellectual property rights in the products and in all documentation and other materials relating to the products are, as between Molgenics Ltd and the customer, reserved to Molgenics Ltd.
In cases where the customer requests Molgenics Ltd to prepare the products in a non-standard format, Molgenics Ltd will require that the customer completes a requirements sheet detailing their requirements. The products will be prepared according to the details in that requirements sheet. Molgenics Ltd cannot accept responsibility for any amended or additional requirements subsequent to acceptance of the order and failure to meet any such amended or additional requirements will not be accepted as cause for rejection of the products by the Customer.
Prices
The prices for the Products and delivery are set out on the Molgenics Ltd website and/or product catalogue and are exclusive of VAT, GST and any other applicable sales tax and import or customs duties (where these are applicable). The customer shall be the importer of record and solely responsible for compliance with all import and customs and regulations in respect of the Products.
Molgenics Ltd will supply the customer with prices for quantities outside those listed in the catalogue upon request.
Title and Risk
Molgenics Ltd retains ownership of all products delivered to the customer, which must be held by the customer to Molgenics Ltd order until Molgenics Ltd has received unconditional payment in full for the products and for any other goods or services supplied by Molgenics Ltd to the customer.
Molgenics Ltd shall have full right of unimpeded access to any premises where the Products are stored for the purposes of recovering possession of the Products.
Risk of damage to or loss of the Products shall pass to the customer upon delivery to the customer.
Payment
Molgenics Ltd will send the customer an email acknowledging and confirming receipt of their order.
If the customer’s payment is not authorised, their order will not be fulfilled.
The customer shall reimburse Molgenics Ltd all costs and expenses (including legal costs) incurred in the collection of any overdue amount.
Molgenics Ltd shall issue the customer an invoice for their order. Invoices shall be paid by you in cleared funds in accordance with the instruction set out on our Invoice no later than 30 days after the invoice date, and you shall pay any bank charges that are incurred in making such payment. If any such bank charges are applied to the sums received by us, you shall pay such additional amount to us as to ensure that we receive the full purchase price for the Products.
Without prejudice to any other right or remedy available to Molgenics Ltd if any part of an invoice remains outstanding after the due date for payment, Molgenics Ltd will be entitled to charge interest from the invoice date until full payment and the costs of recovery in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Liability
Nothing in these Terms and Conditions excludes or limits our liability for:
We exclude liability for any damaged and/or missing products unless given notice of such issues within the time period set from receiving the products. To the fullest extent permitted by applicable law, we shall have no liability concerning a claim unless the allegedly defective products are kept available for us to inspect and you provide the requested evidence.
Our liability in respect of products proved by you to be defective is limited, as we may elect, replacing the products or refunding all, or part of, the contract price against return of the products.
To the fullest extent permitted by applicable law, we shall not be liable to you for any loss of profits, sales, business or revenue, loss of business opportunity, loss of anticipated savings; or any indirect or consequential loss arising under or in connection with:
Molgenic Life Science excludes liability for any injury, claim, loss, or expense that may arise in connection with any loading, unloading, storage, transportation, handling, sale or use of the Products by the customer, or on their behalf.
To the fullest extent permitted by applicable law, the customer agree to indemnify and hold Molgenics Ltd and its affiliates from and against any and all claims, costs, proceedings, demands, losses, damages, and expenses (including, without limitation, reasonable attorney's fees and legal costs) of any kind arising from any actual or alleged breach of this contract by the customer or anyone using their account.
Suspension and termination
If any of these Terms and Conditions were to be breached by the customer, we may do any or all of the following:
If Molgenics Ltd end a contract in due to these situations, Molgenics Ltd will refund any money the customer has paid in advance for Products we have not provided but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaching the Contract.
Events outside of our control
Molgenics Ltd shall not be liable or be deemed to be in contractual breach for any delay in performing their obligations under the contract to the extent that such failure or delay is caused by events outside of our control.
Any delay or failure on Molgenics Ltd part which is due to an event outside of our control shall not affect the customer’s obligation to pay for Products already delivered.
